Master Service Agreement

This Master Service Agreement (the “MSA” or “Terms of Service”) is by and between Levellr Limited, a company incorporated in England & Wales under number 12909887 whose registered office is at 2, Television Centre Soho Works, Wood Lane, London, England, W12 7FR, United Kingdom (“Levellr”) and the entity or individual (“Customer”) identified in the order executed by Levellr and Customer or identified in connection with the Levellr Account registration process (in each case, a “Platform Services Agreement” or “Order”), and governs Customer’s use, and Levellr’s provision, of the Services. By clicking a box indicating acceptance, by executing an Order (whether online or offline), or by purchasing a Levellr product online, the Customer agrees to these Terms of Service. If Customer registers for a Free Trial for the Services, the applicable provisions of these Terms of Service will also govern that Free Trial. Each Order, and any exhibit or schedule to an Order, is subject to this Agreement and is incorporated herein by reference. If you are an individual and are entering into this Agreement on behalf of an entity, you represent and warrant that you have the authority to bind such entity to all of the terms and conditions of this Agreement. Use of the Service by Users is governed by this MSA, unless explicitly stated otherwise, and any new Services, including any new Levellr properties, shall be subject to these Terms of Service. When a User uses the Services or any other service or product offered by Levellr that does not have a separate legal agreement, these Terms of Service will apply.

LEVELLR RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO ALTER OR UPDATE THESE TERMS OF SERVICE AND/OR THE SERVICES AT ANY TIME WITH OR WITHOUT NOTICE INCLUDING, WITHOUT LIMITATION, FEATURES, SPECIFICATIONS, CAPABILITIES, FUNCTIONS, LICENSING TERMS, RELEASE DATES, GENERAL AVAILABILITY OR OTHER CHARACTERISTICS. BY CONTINUING TO USE THE SERVICES AFTER ANY SUCH CHANGES, YOU AGREE TO BE BOUND BY SUBSEQUENT CHANGES AND ACKNOWLEDGE THAT LEVELLR SHALL HAVE NO LIABILITY TO YOU AS A RESULT OF ANY SUCH CHANGES.

CUSTOMER ACKNOWLEDGES AND AGREES THAT ANY AND ALL USES OF THE SERVICES ARE FURTHER SUBJECT TO LEVELLR’S TERMS OF USE LOCATED AT HTTPS://WWW.LEVELLR.COM/PAGES/TERMS-OF-USE (“TERMS OF USE”), PRIVACY POLICY LOCATED AT HTTPS://WWW.LEVELLR.COM/PAGES/PRIVACY-POLICY (“PRIVACY POLICY”) AND COMMUNITY GUIDELINES LOCATED AT HTTPS://WWW.LEVELLR.COM/PAGES/COMMUNITY-GUIDELINES (“COMMUNITY GUIDELINES”), EACH OF WHICH MAY BE UPDATED FROM TIME TO TIME BY LEVELLR WITH OR WITHOUT NOTICE.

1. Definitions

1.1 “The Service” provides products, applications, content, tools and features which allow you to set up, manage & monetize public and private communication channels such as forums, communities, or chat areas on existing messaging apps, including but not limited to Telegram and Discord. The Service may allow you to access software and content that is available to license from Levellr. The Service is licensed (not sold) to you, meaning that we continue to own all copies of the Service installed on your device and the license stays in effect for as long as we provide the Service and you and continue to pay any Fees that may apply.

1.2 “Your Content” means any text, audio, video graphics, photos, branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics and their selection and arrangement, and any other materials uploaded to the Service by you.

1.3 “Content” means any data, material, information or content posted by any user on the Community Channels, including all text, audio, video, live stream, images, graphics, pictures, numbers or any other digital content

1.4 “Account” means a single point of entry via the user interface through which a Customer, a Customer’s representatives or employees or licensed third parties (collectively “Users”) access and use the Services.

1.5 “Demo Account” means a temporary account provided to Customer by Levellr or its resellers that permits the Customer, or its Users, as a potential customer to use the Services on a temporary trial basis for a limited time period.

1.6 “Fees” means all fees relating to the Services including, without limitation, all fees set forth in an Order.

1.7 “Dashboard” means Levellr’s centralised data, community management & customer relationship management (CRM) dashboard.

1.8 “Suppliers” means, individually and collectively, Levellr’s licensors, suppliers, vendors, resellers and partners.

1.9 “Administrator(s)” means any Authorized User that is designated by Customer to manage other Authorized Users’ access to the Services.

1.10 “Authorized Users” means any individual who is authorized by Customer to access and use the Services on behalf of Customer.

1.11 “User License” shall mean access for a determined amount of time for one unique user to Levellr dashboard, or a subset if relevant.

1.12 “Usage Data” means all information, data and other content, not including any Content, accessed by Levellr via Customer’s access and use of the Services, including without limitation Customer and User’s IP address, web request headers, including without limitation browser type, user agent, and referral page, web pages visited on the Services, cookie information from Users’ usage of the Services, and other information relating to Customer and Users’ usage of the Services.

1.13 “Malicious Code” means code, files, scripts, agents or programs intended to do harm, including but not limited to viruses, worms, time bombs and Trojan horses.

1.14 “Community Channels” means public and private communication channels such as forums, communities, messaging apps including but not limited to Telegram & Discord, or chat areas designed to enable you to communicate with other users of the Service.

1.15 “End User or End Users” means people using your Community Channels.

1.16 “Community Terms” means the set of terms and conditions that apply to each and any Community Channels.

2. Access to the Services; Free Accounts; Beta Services

2.1 Access to the Services

Access to Customer’s Services Account(s) for Users shall be enabled by use of username(s) and password(s) (“Credentials”) selected by Customer. Except where Levellr has actual notice of loss, theft or unauthorized use of Customer’s Credentials,

  • Customer is solely responsible for designating all Authorized Users and Administrators and for providing accurate contact information to Levellr for such Authorized Users and Administrators. Customer is responsible for (a) ensuring that all Authorized Users comply with the terms of this Agreement, and (b) any breach of this Agreement by any Authorized User.
  • Each Authorized User may access and use the Services only after completing the applicable registration process via the Service. Each Authorized User will maintain the confidentiality of his or her Credentials and will not disclose such Credentials to any other party or share their Account with any other individual. Any activities undertaken through the use of the Credentials will be deemed to have been performed by an Authorized User. Customer is responsible for all activity occurring in Customer’s Account(s), and Customer shall bear full responsibility and liability (and Levellr shall have no responsibility or liability) for failure to secure passwords or enforce proper utilization of credentials.
  • Levellr shall have the right, without further inquiry, to rely on the provision of Customer’s Credentials as sufficient to authenticate Customer’s use of the Services
  • Customer will immediately notify Levellr of any unauthorized access or use of Credentials that is known to, or reasonably suspected by, Customer. Levellr reserves the right, at any time, to require that any Authorized User change his or her Credentials.

2.2 Free Accounts

Levellr may from time to time offer free Accounts, such as trial Accounts. Unless otherwise specified during the Account registration process, the terms and conditions of this Agreement shall govern the use of such free Accounts. Levellr may terminate any free Account at any time without notice, in its sole discretion.

If Customer registers on the Levellr website for a 30-day free trial (the “Free Trial”) and has a valid Account, Levellr shall make the Services available to the Customer on a trial basis free of charge until the earlier of (a) the end of the free trial period or (b) the start date of any Order by the Customer for such Services or (c) the termination by Levellr in its sole discretion. Levellr may have additional terms and conditions appear on the trial registration web page, and any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding.

IF CUSTOMER DOES NOT COMPLETE AN ORDER FOR LEVELLR SERVICES UPON THE EXPIRATION OF THE FREE TRIAL PERIOD, CUSTOMER ACKNOWLEDGES THAT IT WILL NOT BE ABLE TO USE THE SERVICES.

NOTWITHSTANDING SECTIONS 9, 10 AND 11 (WARRANTIES, INDEMNITIES AND LIMITATION OF LIABILITY), DURING THE FREE TRIAL, THE SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY AND LEVELLR SHALL HAVE NO INDEMNIFICATION OBLIGATIONS WITH RESPECT TO THE SERVICES FOR THE FREE TRIAL PERIOD. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN SECTION 12 WITH RESPECT TO LIMITATION OF LIABILITY, THE CUSTOMER SHALL BE FULLY LIABLE UNDER THIS AGREEMENT TO LEVELLR AND ITS AFFILIATES FOR ANY DAMAGES ARISING OUT OF THE CUSTOMER’S USE OF THE SERVICES DURING THE FREE TRIAL PERIOD AND BREACH OF THIS AGREEMENT AND ANY OF THE CUSTOMER INDEMNIFICATION OBLIGATIONS HEREUNDER.

2.3 Beta Services

Levellr may from time to time offer products or services that are not generally available to all Levellr customers (“Beta Services”). Beta Services may be offered at no cost and will be identified as “beta” or in a manner that indicates that the Beta Service is in limited release or pre-release. Such Beta Services are still in development and Levellr may change aspects of the Beta Services at any time, including prior to general release. Customer will not be obligated or required to use any Beta Services. Levellr may cease offering any Beta Services, or cease offering such services at no cost, at any time and without notice, in its sole discretion. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, BETA SERVICES ARE PROVIDED “AS IS” AND WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND.

2.4 Equipment

Customer is solely responsible for providing and maintaining at its own expense all equipment, software, services and other items necessary to access and use the Services (including, without limitation, computer hardware and software, modems, telephone service and Internet access). Levellr shall have no responsibility or liability) for failure for the suitability, quality, reliability or performance of Customer equipment.

2.5 Modifications

Levellr reserves the right to modify or discontinue, temporarily or permanently, the Services or any features or portions thereof without prior notice.

2.6 Third Party Services

The Services may provide Customer with the ability to access technology and services made available by third parties (“Third Party Services”) as a convenience only. Customer’s use of any Third Party Services is solely at its own risk and is subject to any applicable terms and conditions of the third party provider of such services. Customer acknowledges and agrees that Third Party Services are not under the control of Levellr. Levellr makes no representation or warranty with regard to, and will not be responsible or liable to Customer for, any Third Party Services. Levellr does not, unless otherwise expressly set forth in writing in a separate agreement executed by Levellr, provide maintenance or support for any Third Party Services.

2.6.1 Telegram

When using Levellr to manage Telegram, Levellr uses Telegram API Services on behalf of Customer. The Telegram Terms of Service and Privacy Policy can be found here:

By using Levellr Services, you must comply with all Telegram terms and conditions. The Customer may revoke Levellr’s access to the Customer’s Telegram accounts, channels, groups and supergroups at any time, but a fee may apply to continue using any aspect of the Service to operate the community.

2.6.2 Discord

When using Levellr to manage Discord, Levellr uses Discord API Services on behalf of Customer. The Discord Community Guidelines, Terms of Service and Privacy Policy can be found here:

By using Levellr Services, you must comply with all Discord terms and conditions. The Customer may revoke Levellr’s access to the Customer’s Discord accounts and servers at any time, but a fee may apply to continue using any aspect of the Service to operate the community.

2.7 Training

Where Levellr provides training or support to the Customer the fees for such services will be defined in the Order. Customer shall be responsible for its own expenses in attending training and for Levellr’s travel and subsistence expenses if the parties agree that the training be conducted at Customer premises.

3. Customer’s Obligations

3.1 Restrictions on Use

a) Customer covenants that it will not:

  • use the Services in any illegal or unlawful manner or for any illegal or unlawful purpose;
  • perform any act which is intended to harm Levellr or the Services;
  • use any Service in any manner not expressly permitted by this Agreement;
  • sell, lease, or rent access to or use of the Services, or otherwise transfer any rights to use the Services under this Agreement (including without limitation, on a timeshare or service bureau basis);
  • host, on a subscription basis or otherwise, the Services (including any related application);
  • permit or assist others to enable access to the Services by any unauthorized third party other than in connection with any third party’s access to Content made publicly available via the Services by Customer;
  • permit direct or indirect access to or use of any Services in a way that circumvents a contractual usage limit;
  • defraud, defame, abuse, harass, stalk, threaten, or infringe the rights of privacy or other intellectual property rights (including copyright) of others;
  • use the Services to store or transmit Malicious Code;
  • attempt to gain unauthorised access to any Services or Content or its related systems or networks;

b) No Modifications: Except as expressly permitted in writing by Levellr, Customer will not copy, distribute, modify, create derivative works based on, port, adapt, or translate any Levellr software or Services. Customer will not reverse engineer the Services or any Levellr software and will not decompile, disassemble, or otherwise attempt to discover the source code of any software provided or otherwise made available by Levellr only in machine-readable (i.e., object code) format.

c) Your Content: Customer is solely responsible for all matters arising out of or in connection with the Content including, without limitation, ensuring that Your Content

  • is not (or encourage, promote or condone activities that are) illegal, unlawful, offensive, defamatory, libellous, threatening, pornographic, harassing, hateful, racially or ethnically offensive;
  • complies with Levellr community guidelines and does not violate any third-party rights, as further described therein and elsewhere in these Terms of Service;
  • does not promote, support, contain or link to software programs, applications or websites which propagate, distribute or contain hacking software or similar applications, utilities or programs, software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • does not exploit minors in a sexual or violent manner, impersonate another person, be generally offensive or in bad taste, or otherwise be inappropriate for minors;
  • does not damage, disable, overburden or impair the Service;
  • does not interfere with another user’s use and enjoyment of the Service; and
  • does not arvest or collect email addresses or other contact information of other users by electronic or other means.

We do not accept Content that is uploaded by unsupervised minors nor any responsibility or liability in respect of the same. If you are a minor using the Service, you agree that any of Your Content that you may upload in connection with the Service is done so under your parent or guardian’s express supervision. Any Content uploaded by a minor will be deemed to be uploaded by their parent or guardian, who will remain responsible for that Content at all material times.

Levellr reserves the right to remove your access to certain features that may have the effect of limiting other users of the Service from seeing or hearing Your Content with or without notice for any reason, acting in its sole discretion.

Levellr reserves the right to remove and permanently delete Your Content from the Service with or without notice for any reason, acting in its sole discretion.

d) Levellr, its Suppliers and the Services are passive conduits of Your Content and Community Channels. Levellr and its Suppliers have no obligation to undertake to pre-screen, edit, review, monitor or oversee Content submitted, uploaded, distributed, retrieved, or viewed in connection with use of the Services, and assumes no responsibility or liability relating thereto. In the instance that Customer employs Levellr to assist in Community Management, a separate terms will be shared with Customer for approval.

Levellr provides you with the Service to create and support Community Channels. While Levellr always tries to ensure that all users act in a respectful and inclusive way, we can’t control other users or their Community Channels. We aren’t and won’t be a party to any Community Terms. You agree that:

  • your Community Channels have Community Terms in place. You may use the template Community Terms we provide you. If you don’t (or if you make changes to the template Community Terms we provide you), you must ensure that the people using your Community Channels (“End User or End Users”) comply with these Terms and all laws and regulations that may apply.
  • your Community Channels and End Users are your responsibility. You must ensure your Community and End Users comply with any laws or regulations that may apply. We are not responsible for your Community or End Users and we won’t provide you with any legal advice.
  • you will make necessary changes if or when we need to make reasonable changes to your Community Terms (for example, to comply with law or to fix a problem that is, in our reasonable opinion, affecting the Service).
  • you will be responsible for ensuring that you comply with all laws that apply to your use of the Service, including laws and regulations relating to data privacy such as the General Data Protection Regulation (2016/679) (“GDPR”), Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003.

e) Levellr Dashboard: The Dashboard contains software to track and capture user activity to assist Levellr in optimizing the Services and Customer’s use of the Services. Customer’s use of the Dashboard constitutes acceptance of this feature. For further information on how such software is used, please review the Privacy Policy. If Customer or its Users enable syndication of Content on third party websites (which may be permitted via Customer Account), Customer, and not Levellr, is solely responsible for notifying each such third party website that Levellr may track information regarding the third party users who view Content using Levellr and Telegram services.

f) Customer is responsible for Content provided by third parties that may contain errors or omissions, false or defamatory material, and/or material that is offensive, indecent, objectionable, and/or infringing. Under no circumstances will Levellr or its Suppliers be liable in any way for Content, including, but not limited to, for any defamation, infringement, falsehoods, errors or omissions in any such Content, or for any loss or damage of any kind incurred as a result of the use or publication of any such content posted, delivered, emailed or otherwise transmitted via the Services.

g) Customer acknowledges that Levellr and its Suppliers are not responsible for preventing or identifying infringement of intellectual property rights or other violations associations with the Content, and Levellr and its Suppliers assume no responsibility for screening or monitoring for possible:

    infringement or enforcing rights of the Customer or any third party rights with respect to Content;

    unlawful, inappropriate or unpermitted use;

    libel, falsehoods, errors or omissions contained in Content;

    noncompliance with applicable laws, rules, or regulations, or court or regulatory agency orders

Customer acknowledges and agrees that by using the Services, Users may be exposed to Content that they deem offensive, indecent or objectionable and that Levellr does not guarantee that any Content will be to the satisfaction of Users.

Levellr will not review or screen Content on a regular basis for compliance with this Agreement or applicable law, and Levellr shall have no obligation to do so, provided, however, that in addition to any other rights Levellr may have, Levellr reserves the right to suspend Customer’s access to and/or use of the Services, or any particular Content, to the extent that Levellr reasonably determines, in good faith, that such suspension is necessary to comply with applicable law (including without limitation a take-down notice under the Digital Millennium Copyright Act) or to prevent significant harm to any end user or the Services; provided further, however, that in such event, Levellr shall use commercially reasonable efforts to suspend only that portion of the Services, or the particular Content, as is reasonably necessary to prevent the occurrence or continuation of such violation and/or harm.

In the instance that Customer employs Levellr to assist in Community Management, separate terms will be shared with Customer for approval.

3.2 Obligation to Pay

Customer shall pay Levellr the fees set forth in each Order in accordance with the payment terms set forth in this Agreement and the Order. Customer shall be responsible for and shall pay any applicable sales, use or other taxes or duties, tariffs or the like applicable to Customer’s Orders (except for taxes on Levellr’s income). All payments shall be made without deduction for withholding taxes, or set-off. Late payments may be subject to fees at the rate of 1.5% per month or, if lower, the maximum rate allowed by law. In addition, if the payment for applicable fees is more than 15 days overdue then Customer shall be liable for a 10% late payment fee. If Customer fails to pay applicable fees when payment is due, then in addition to any other rights Levellr may have, Levellr shall have the right to suspend delivery of all or a portion of the Services to Customer, provided that Levellr has supplied Customer prior notice and 5 days’ opportunity to cure. If Levellr pursues collection efforts against Customer due to Customer’s failure to pay fees due under this Agreement, Customer shall pay Levellr’s reasonable costs of collection, including any attorneys’ fees related thereto.

4. Levellr’s Obligations

Levellr agrees to:

(a) make the Services available to Customer in accordance with any active Order and this Agreement

(b) perform any other obligations expressly identified in any current Order.

5. Term

5.1 Term of this Agreement

This Agreement commences on the Effective Date and shall remain in effect until all of Customer’s Orders have expired or have been terminated in accordance with the terms of this Agreement (the “Term”). The “Effective Date” of this Agreement shall be the date specified in Customer’s initial Order, or the start date of a trial or, if such Order was submitted online, the date Customer submits the online Order. If Customer is using the Services pursuant to a trial Account and does not submit an Order prior to the conclusion of the trial period, this Agreement will terminate at the end of the trial period or, if later, the date Levellr closes such trial Account.

5.2 Term of Orders

The initial term of each Order shall commence on the date specified in the Order or, if such Order was submitted online, the date Customer submits the online Order (the “Order Effective Date”). Unless earlier terminated in accordance with this Agreement, each Order shall remain in effect for 1 year from the Order Effective Date (unless a different term is set forth in Customer’s Order) (“Initial Term”), following which the Order shall automatically renew for successive 1-year periods on the first day following the end of the Initial Term (each, a “Renewal Term”) unless either party hereto has provided notice to the other of non-renewal at least 60 days in advance of the end of the Initial Term or, if applicable, the current Renewal Term. Notwithstanding the prior sentence, all Orders for free Accounts, unless earlier terminated by either Customer or Levellr, shall not automatically renew, but shall remain in effect for the period of time indicated during the Account registration process. Fees for the Services shall automatically increase by 5% each year after the Initial Term unless otherwise specified in the Order.

5.3 Termination

Unless otherwise prohibited by law, either party may terminate this Agreement, including any outstanding Orders, if:

(a) the other party is adjudicated bankrupt or otherwise seeks to avoid its performance obligations under applicable bankruptcy or insolvency laws;

(b) upon the occurrence of a material breach of this Agreement by the other party if such breach is not cured within 30 days after written notice identifying the matter constituting the material breach.

In the event of the termination or expiration of this Agreement, all licenses granted under this Agreement shall terminate automatically. Upon an early termination of this Agreement for any reason, all current Orders shall terminate and, unless such termination resulted from a material, uncured breach of this Agreement by Levellr, all fees and expenses payable under any such Orders shall become immediately due and payable. The parties agree that, in such a termination, Levellr’s damages may be difficult to ascertain, therefore the parties agree that Customer shall pay to Levellr seventy-five percent (75%) of the remaining amounts payable under any terminated Orders as liquidated damages, and not as a penalty.

5.4 Removal and Suspension

Levellr reserves the right, without notice or liability to Customer, to remove any Content from the Services and/or suspend Customer’s access to or use of the Services in its sole discretion if it believes that (a) Customer has violated its obligations under this Agreement, (b) that such removal is required by applicable law, (c) that Customer use of the Services represents a direct or indirect threat to the network function or integrity of the Services, (d) such suspension is necessary to prevent unauthorized access to or harm to Content or data of other Levellr customers; (e) such suspension is necessary to comply with Levellr’s legal obligations, or (f) Customer’s account has become inactive. Levellr further reserves the right to remove any Content from the Services and/or render Content inaccessible to the public upon request from a third party asserting ownership of rights in such Content. Customer is solely responsible for creating backup copies of any Content.

6. Billing

For Customers who subscribe to Levellr’s online products, Customers are required to pay the monthly or annual subscription fees at the beginning of each negotiated billing period immediately after completing the purchasing process. Levellr will process the payment method using the information provided by Customer during the purchasing process.

If Customer incurs any overages, these will be billed at the end of the relevant billing period, as defined in Customer’s subscription. Levellr will process the payment method using the information provided by Customer during the purchasing process.

It is Customer’s responsibility to notify Levellr of any change to such payment information. If Customer does not wish to use the same payment method or information for making the payment for renewal, Customer shall contact Levellr and make the change.

Levellr will notify Customer by email prior to the expiration of a subscription. If Customer does not choose to cancel a subscription before the expiration of the current subscription period, the subscription will be automatically renewed for another identical period of time, based on the initial subscription. In either such case of automatic renewal, Levellr will charge the payment method on Customer’s account for the renewal subscription fee using the payment information Customer last provided Levellr.

Customer’s access to the Services may be suspended if Customer fails to fully pay any existing balance. LEVELLR MAY NOT BE HELD LIABLE FOR ANY DISRUPTION IN THE SUPPLY OF THE SERVICES IF CUSTOMER FAILS TO NOTIFY IT OF ANY CHANGE PURSUANT TO THE FOREGOING PRIOR TO THE OCCURRENCE THEREOF.

Customer is responsible for the payment of all applicable taxes in connection to Customer’s subscription of the Services; provided, however, that Levellr reserves the right to collect and pay taxes to the relevant authorities when it, in its sole discretion, believes that applicable law requires it to do so.

6.1 Usage-based billing

In the event Customer’s Services include a limit on the number of units included in Customer’s subscription, the units shall be defined as follows.

“Community Members” shall mean the number of users that have opted-in to data sharing and/or joined the community channels

“Monthly fees” shall mean any fees incurred by Customer in a month’s worth of subscription, including any overages.

“Overages” shall mean any fees incurred by Customer for usage of the platform beyond the limits included in a subscription, at the price specified in such subscription.

6.2 User subscriptions

Some elements of the Service are only accessible to paying users, for example if you enable paid-to-access Community Channels. There are fees associated with accessing these elements of the Service (“Paywall Service”) and full details of the fees payable (“Fees”) are available at https://www.levellr.com/pricing.

Depending on the type of subscription you purchase, your Community Channels may be subject to certain limitations and caps, such as a cap on the total number of End Users that may access your Community Channels. You may pay additional Fees to increase these limitations. If your Community exceeds the limitations or caps applicable to your subscription, we will automatically charge the applicable Fees detailed at https://www.levellr.com/pricing.

We may change the Fees, but these changes won’t take effect during your current subscription period and we will let you know of any changes 30 days in advance (either via email or via a prominent notice in the Service) so that you have the chance to cancel your subscription if you do not wish to pay the new Fees. New Fees will not apply retroactively.

New features will not automatically be included in existing subscriptions.

Your access to Paywall Services will continue for as long as you pay the Fees or until these Terms are terminated.

If you set up a Paywall Service you may use the functionality offered via the Service, such as offering your End Users subscriptions that provide access to certain Community Channels. Paywall Service functionality is provided by our payment partner Stripe, Inc. (“Stripe”). Levellr does not provide payment services, but we may provide you with the information necessary to integrate Stripe’s payment services into your Community Channels.

If you set up a Paywall Service you must connect your Stripe account to your Levellr account. If you don’t have a Stripe account, you must set one up. When setting up your Stripe account, you must review and accept any Stripe terms and policies that apply. If you don’t agree with the Stripe terms and policies that apply to you, you must not set up the Paywall Service. If you are unable to set up a Stripe account (for example, because you do not meet Stripe’s eligibility criteria), you will not be able to set up a Paywall Service.

You are responsible for checking for and paying any taxes that may apply in relation to your Paywall Service.

We may suspend your access to Paywall Service if you don’t comply with these Terms or our Community Guidelines.

7. Intellectual Property Rights

Each Party shall retain all rights, title and interest in any Intellectual Property Rights. The rights granted to Customers and Authorized Users to use the Services under this Agreement do not convey any additional rights in the Services or in any Intellectual Property Rights of Levellr associated therewith. Subject only to limited rights to access and use the Services as expressly stated herein, all rights, title and interest in and to the Services and all other components of or used to provide the Services, including all related Intellectual Property Rights, will remain with Levellr and belong exclusively to Levellr. As between the parties, Customer owns all rights, title and interest in and to the Content. This Agreement does not convey to Levellr any ownership interest in or to the Content, but only a limited license to the Content that is revocable as set forth in this Agreement.

8. Licenses

8.1 License to Use the Services

Levellr hereby grants Customer a limited, revocable (for breach of the licensing terms or violation of applicable law), non-sublicensable, non-transferable (except as provided in Section 17.2), non-exclusive, worldwide license during the Term to use the applicable Services for which Customer has submitted an Order or registered online. All rights not expressly granted to Customer are reserved by Levellr. Except as expressly permitted by Levellr in writing, Customer shall not:

  • sublicense, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Services or any part thereof in any way;
  • modify or make derivative works based upon the Services or reverse engineer, decompile or disassemble the Services.

8.2 Content

By uploading, posting, distributing or otherwise using Your Content in connection with the Service, you grant to us a perpetual, non-exclusive, transferable, royalty-free, sub-licensable, and worldwide right and licence to use, host, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display and otherwise exploit Your Content in any media in connection with using, operating, providing, marketing, advertising and otherwise exploiting the Service.

8.3 License to Feedback, Suggestions or Recommendations

Customer hereby grants to Levellr an unlimited, fully paid-up, royalty-free, worldwide, transferable, sub-licensable (through multiple layers), assignable, irrevocable and perpetual license to implement, use, modify, commercially exploit, incorporate into the Services or otherwise use any suggestions, enhancement requests, recommendations or other feedback received from Customer or Authorized Users, or other third parties acting on the Customer behalf. Levellr also reserves the right to seek intellectual property protection for any features, functionality or components that may be based on or that were initiated by suggestions, enhancement requests, recommendations or other feedback received from Customers or Authorized Users, or other third parties acting on behalf of the Customer.

9. Disclaimers, Representations and Warranties

9.1 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, LEVELLR MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND TO CUSTOMER, EITHER EXPRESS OR IMPLIED, AS TO ANY MATTER INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, WORKMANLIKE QUALITY, NON-INFRINGEMENT, TITLE, SUITABILITY, COURSE OF DEALING, USAGE OF TRADE OR OTHERWISE OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED ON AN “AS IS” BASIS ONLY. NO ADVICE OR INFORMATION OBTAINED BY CUSTOMER FROM LEVELLR SHALL CREATE ANY REPRESENTATION OR WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

9.2 Representations and Warranties

Customer represents and warrants that:

(a) it either owns fully and outright or otherwise possesses and has obtained all rights, approvals, licenses, consents and permissions as are necessary to perform its obligations hereunder, exercise its rights hereunder and to grant the licenses granted by it under this Agreement;

(b) the Content, and its use through the Services, as enabled by Customer, directly or indirectly, does not, and shall not, infringe, violate or misappropriate any third party’s rights. Customer shall:

  • (i) obtain all necessary consents, permissions, licenses and waivers from copyright owners, artist(s), actors, directors, performers, writers, producers, or any other individuals who appear in the Content or the results and proceeds of whose services are utilized in the Content;
  • (ii) obtain any required synchronization and master use licenses from the owners of the musical compositions and sound recordings embodied in the Content (or their designated representatives);
  • (iii) make any payments to any labor unions and guilds, to the extent required under applicable collective bargaining agreements or otherwise (e.g., residuals, re-use, rerun and other similar fees);
  • (iv) obtain public performance licenses from public performance rights collection organizations;
  • (v) take any other actions necessary in order to obtain the appropriate license to the Content.

(c) Customer shall comply with all applicable laws, rules, regulations, and court or regulatory agency orders or actions;

(d) Customer shall be solely responsible and liable for any Prohibited Content (as defined in the AUP); and

(e) Customer shall abide by these Terms of Service.

10. Indemnification

Each party agrees to indemnify, subject to Section 12, the other party and such other party’s officers, employees, directors, agents, affiliates, subsidiaries, successors and assigns from and against any and all damages, liabilities, loss, government fines, costs and expenses (including reasonable attorney’s fees and litigation expenses) arising out of a claim, action or demand brought by a third party for or alleging infringement or misappropriation of such third party’s intellectual property rights (each a “Claim”).

The indemnification obligations in this section are conditioned upon:

(a) written notice by the indemnified party to the indemnifying party promptly of the indemnified party’s receipt of any Claim for which indemnification is sought;

(b) indemnifying party shall select counsel and control any litigation and settlement; and

(c) such reasonable cooperation by the indemnified party in the defense as the indemnifying party may request.

Notwithstanding anything to the contrary contained herein, the indemnifying party shall not, without the prior written consent of the indemnified party, settle, compromise or consent to the entry of any judgment with respect to any pending or threatened Claim (i) if such action requires or contains an admission of guilt or liability of indemnified party and (ii) unless the settlement, compromise or consent provides for and includes an express, unconditional release of such Claim against the indemnified party.

11. EXCLUSIONS/LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT IN THE CASE OF CUSTOMER MISAPPROPRIATION OF LEVELLR INTELLECTUAL PROPERTY OR USE OF CONTENT, UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE TO THE OTHER UNDER ANY THEORY OF LIABILITY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING FROM THE PERFORMANCE OR FAILURE OF PERFORMANCE OF ANY PROVISION OF THIS AGREEMENT (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES), SUCH AS, WITHOUT LIMITATION, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS, EVEN IF A PARTY IS MADE AWARE THAT SUCH DAMAGES ARE LIKELY. EXCEPT IN THE CASE OF CUSTOMER (i) MISAPPROPRIATION OF LEVELLR INTELLECTUAL PROPERTY OR (ii) USE OF CONTENT, UNDER NO CIRCUMSTANCES WILL EITHER PARTY BE LIABLE, IN AGGREGATE, TO THE OTHER FOR DAMAGES (OR AMOUNTS) IN EXCESS OF THE GREATER OF (A) $100.00, OR (B) THE TOTAL FEES PAID AND/OR PAYABLE FOR THE APPLICABLE ORDER FOR THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE ACTION OR OMISSION GIVING RISE TO THE CLAIM HEREUNDER AROSE. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE PRECEDING SENTENCE, IF CUSTOMER IS USING THE SERVICES VIA A FREE ACCOUNT, CUSTOMER’S MAXIMUM LIABILITY TO LEVELLR IN CONNECTION WITH SUCH FREE ACCOUNT SHALL NOT EXCEED AN AMOUNT EQUAL TO THE DAMAGES INCURRED BY LEVELLR. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IN THE EVENT OF A FAILURE OF ESSENTIAL PURPOSE. THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS OF LIABILITY REFLECT THE ALLOCATION OF RISK SET FORTH IN THIS AGREEMENT AND THAT THE PARTIES WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THESE LIMITATIONS.

12. Third-Party Services

Levellr may, from time to time, inform its customers of third-party services that can be used in connection with the Services. Customer’s use of any third-party service in connection with the Services, and any terms, conditions, representations and/or warranties associated with such use, are solely between Customer and such third-party service provider. Levellr makes no representation or warranty with regard to any such third-party service, even if such provider is certified by Levellr or selected as a premier provider (or similar designation) by Levellr, and Levellr shall not be responsible to Customer in any manner for any such third-party service. Levellr does not, unless otherwise expressly set forth in writing, provide maintenance or support for third-party services.

13. Confidentiality

13.1 Each party agrees not to disclose the other party’s Confidential Information without the other party’s prior written consent. “Confidential Information” includes, without limitation:

(a) all intellectual property;

(b) financial and business information (including pricing);

(c) any other information designated in writing as “Confidential.”

Confidential Information does not include (i) Content; (ii) information that has become publicly known through no breach by Customer or Levellr of these confidentiality obligations; (iii) information that is independently and lawfully developed or obtained without access to Confidential Information, as evidenced in writing; (iv) information required to be disclosed by law; or (v) the fact that Customer is a customer of Levellr.

13.2 Each Party undertakes that it shall, at all times during the continuance of this Agreement and for and for a period of six (6) years following expiry or termination of it:

13.2.1 keep confidential all Confidential Information;

13.2.2 not disclose any Confidential Information to any other party;

13.2.3 not use any Confidential Information for any purpose other than as contemplated by and subject to the terms and conditions of this Agreement;

13.2.3 not make any copies of, record in any way or part with possession of any Confidential Information; and

13.2.4 ensure that none of its directors, officers, employees, agents or advisers does any act which, if done by that Party, would be a breach of the provisions of Section 19.

13.3 Either Party may disclose any Confidential Information as authorized by the other Party in writing or to:

13.3.1 any sub-contractor or supplier of that receiving Party;

13.3.2 any professional advisor of that receiving Party;

13.3.2 any governmental authority or regulatory body; or

13.3.4 any employee or officer of that receiving Party or of any of the aforementioned persons, parties or bodies, to such extent only as is necessary for the purposes contemplated by this Agreement, or as required by law, and in each case subject to that receiving Party first informing the person, party or body in question that the Confidential Information is confidential and (except where the disclosure is to any such body as is mentioned in Section 19) requiring the person in question to keep the Confidential Information confidential and to use it only for the purposes for which the disclosure is made. Where disclosure is required by law, the Party in receipt of the legal request purporting to require such disclosure shall promptly, if permitted by applicable law, attempt to redirect the requesting third party to the disclosing Party. If a receiving Party’s redirecting efforts are unsuccessful or impermissible, it shall, if permitted by applicable law, prior to disclosure, provide as much notice of the legal request to the disclosing Party, which notice will include, if permitted by applicable law, a copy of the legal request, as is reasonably practicable to allow the disclosing Party to seek a protective order or file a motion to quash.

13.4 The provisions of Section 14.1 shall not apply to any information which:

13.4.1 was already in the lawful possession of the party to whom it is disclosed at the time of such disclosure unless such possession arose as a result of a breach of confidence;

13.4.2 is or comes into in the public domain other than as a result of the breach of this Agreement; or

13.4.3 is obtained by the recipient Party from a bona fide third party having no restraint on its free right of disposal of such information.

13.4.4 The provisions of this Section 14 shall continue in force in accordance with its terms, notwithstanding the termination of this Agreement for any reason.

14. Identification Rights

Levellr shall have the right to identify Customer as a customer, and to use Customer’s logo in Levellr’s general marketing materials, and Customer shall have the right to identify Levellr as the provider of the Services, and to use Levellr’s logo in connection with Customer’s use of the Services.

15. Notices

All notices under this Agreement must be in writing and delivered either by hand, e-mail, certified mail (return receipt requested, postage pre-paid) or nationally recognized overnight delivery service (all delivery charges pre-paid) and addressed, if to Customer, to the contact identified in Customer’s most recent Order and, if to Levellr, to Levellr Limited, 2, Television Centre Soho Works, Wood Lane, London, England, W12 7FR, United Kingdom attn: CEO or info@levellr.com.

16. General

These Terms of Service including all URLs incorporated herein constitute the complete and exclusive agreement between Customer and Levellr with respect to its subject matter; provided, however, that if Customer accept or enter into a Contract or some other written agreement with Levellr or its authorised agents (including its resellers) that expressly incorporates these Terms of Service by reference, then these Terms of Service shall be subject to such other agreement as set forth therein. If any provision of a Contract or these Terms of Service is held unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and such decision shall not affect the enforceability of such provision under other circumstances, or of the remaining provisions hereof under all circumstances. Notwithstanding anything to the contrary herein, if Customer receives the Service through one of Levellr’s resellers instead of directly from Levellr, then Levellr has no direct liability to Customer in connection with the Services.

16.1 Independent Contractors

Levellr and Customer are independent contractors under this Agreement and nothing herein shall be construed to create a partnership, joint venture or agency relationship;

16.2 Assignment

Neither party may assign performance of this Agreement or any of its rights or delegate any of its duties under this Agreement without the prior written consent of the other, except that each party may assign this Agreement without the other party’s prior written consent in the case of a merger, acquisition or other change of control, and in such event this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns;

16.3 Governing Law

This Agreement shall be governed by the laws of England and Wales and applicable to contracts entered into and wholly to be performed therein;

16.4 Forum Selection

Any and all disputes arising out of or related to this Agreement or performance hereof shall be brought exclusively in the courts located in England and the parties hereby waive any objection thereto;

16.5 Jury Trial Waiver

CUSTOMER AND LEVELLR EACH WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY AND ALL DISPUTES ARISING OUT OF OR RELATED TO THIS AGREEMENT;

16.6 Limitation on Claims

Notwithstanding any law providing a longer statute of limitations, any claim or cause of action arising out of or related to this Agreement and/or Customer’s use of the Services must be filed within 1 year after such claim or cause of action arose, or such claim or cause of action shall be forever barred;

16.7 Export Compliance

Each party shall comply with all applicable export control laws and regulations. Customer specifically represents that

  • it is not located in any country or jurisdiction that is subject to United Kingdom or United States economic sanctions, nor is it acting on behalf of the government of, or providing the Services to citizen that is a national of, any such country
  • it is not identified on the Asset Freezing Unit of Her Majesty’s (HM) Treasury within the United Kingdom, as amended from time to time, nor is it owned or controlled by any such entity

16.8 Effect of Waivers

The waiver by either party of a breach or a default of any provision shall not be construed as a waiver of any succeeding breach of the same or any other provision;

16.9 Survival

All terms of this Agreement which by their nature extend beyond the termination of this Agreement remain in effect until fulfilled and apply to respective successors and assigns;

16.10 Counterparts; Delivery; Acceptance

This Agreement may be executed in counterparts, all of which are considered one and the same agreement, and becomes effective when one or more counterparts have been signed by each of the parties and delivered to the other party, or upon Customer’s submission of an online Order (whichever occurs first). Delivery by facsimile or e-mail and online acceptance are all as effective as physical delivery of an originally executed copy hereof;

16.11 Integration; Amendment

This Agreement, including any Orders entered into hereunder, constitutes the entire understanding of the parties hereto with respect to the matters contemplated hereby, supersedes all previous agreements between the parties concerning the subject matter hereof and cannot be amended except by a writing signed by authorized representatives of both parties;

16.12 No Reliance

No party hereto has relied on any statement, representation or promise of any party or representative thereof except as expressly set forth in this Agreement;

16.13 Severability

If any term, provision, covenant or condition of this Agreement is held invalid or unenforceable for any reason, the remainder of the provisions will continue in full force and effect as if this Agreement had been executed with the invalid portion eliminated. The parties further agree to substitute for the invalid provision a valid provision that most closely approximates the intent and economic effect of the invalid provision;

16.14 Government Entities

Services licensed to the U.S. government or any entity acting on its behalf shall be as a Commercial Item, as that term is defined at 48 C.F.R. §2.101, and licensed only with those rights as are granted to all other entities or individuals entering into an agreement to use the Services;

16.15 Purchase Orders/Instruments

Any instruments, including purchase orders, work orders, acknowledgments and vendor registration forms not signed by both parties (“Instruments”) shall not add to, supersede or modify, the terms of this Agreement and in the event any term of an Instrument purports to add to, supersede or modify any term of this Agreement, such term of the Instrument shall be void and without effect;

16.17 Force Majeure

Neither party will be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder (except for the payment of money) on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, acts of terrorism, governmental action, labor conditions, earthquakes, material shortages or any other cause which is beyond the reasonable control of such party.

17. Corruption and Anti-Bribery

Levellr represents and warrants that neither it nor its subsidiaries, shareholders, subcontractors, directors, officers, employees or agents (i) either directly or indirectly have made or will make an offer, payment, promise to pay, or authorized or will authorize the payment or giving of money or anything of value to any Public Official or family member or representative of such Public Official for the purpose of obtaining, directing or retaining business or securing an improper advantage for Customer; or (ii) have taken or will take any other action, or permitted or will permit or authorized or will authorize any other action to be taken, including any other action in connection with the conduct of its business and the transactions contemplated under this Agreement, which would cause Levellr or Customer to be in violation of any applicable Anti-Corruption or Anti-Bribery Laws. This includes all local laws in the countries in which business is conducted. As used herein, “Anti-Corruption and Anti-Bribery Laws” mean the UK Bribery Act (the Bribery Act) 2010 as applicable, as amended, and the anti-corruption and anti-bribery laws and regulations of the local country and any other applicable anti-corruption and anti-bribery laws; and “Public Official” means: (A) any person who is employed full- or part-time by a government, or by regional subdivisions of governments, including states, provinces, districts, counties, cities, towns and villages or by independent agencies, state-owned businesses, state-controlled businesses or public academic institutions; (B) political parties, political party officials and candidates for political office; and (C) employees of public international organizations, such as the African and Asian Development Banks, the European Union, the International Monetary Fund and the United Nations.

18. Data Protection

18.1 In this Section, the following terms shall have the following meanings:

“Applicable Data Protection Law” shall mean all applicable worldwide legislation relating to data protection and privacy, including, in the EU, the EU General Data Protection Regulation (Regulation 2016/679) (“GDPR”); and, in the UK, the UK retained version of GDPR as amended and incorporated into UK law under the European Union (Withdrawal) Act 2018 (“UK GDPR”), and the Data Protection Act 2018,

“controller” means the natural or legal person, public authority, agency or other body which, alone or jointly with others, determines the purposes and means of the processing of Personal Data;

“Personal Data” means any information relating to an identified or identifiable natural person (“data subject”) where such information is contained in Content or Usage Data and which is protected similarly as personal data, personal information or personally identifiable information under Applicable Data Protection Law;

“processing” means any operation or set of operations which is performed on Personal Data or on sets of Personal Data, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction (and “process” shall be construed accordingly);

“processor” means a natural or legal person, public authority, agency or other body which processes Personal Data on behalf of the controller;

“special categories of Personal Data” shall include the data referenced in Article 9 of GDPR as well as “sensitive personal information” or “sensitive personal data“, or such other similar term, as defined in Applicable Data Protection Law

18.2 Levellr shall process the Personal Data only in accordance with its documented instructions as described in this MSA for the purposes described, and the terms set out, in these Terms of Service and the Terms of Use, including, for the avoidance of doubt, to provide Customer with, and update and improve, our Services (or as otherwise agreed in writing by the parties) (the “Permitted Purpose”). Each party shall comply with the obligations that apply to it under Applicable Data Protection Law.

18.3 Customer will ensure that it has all necessary appropriate consents and notices in place to enable lawful transfer of the Personal Data to Levellr for the duration and purposes of this MSA;

18.4 Where Customer is established in certain jurisdictions or where the Personal Data relates to individuals in those jurisdictions, then the additional provisions set out in Annex A to this MSA shall apply to the processing of such Personal Data.

18.5 Unless explicitly requested by Levellr to do so, Customer shall not disclose (and shall not permit any data subject to disclose) any special categories of Personal Data to Levellr for processing;

18.6 Levellr shall ensure that any person it authorises to process the Personal Data (an “Authorised Person”) shall protect the Personal Data in accordance with Levellr’s confidentiality obligations under this Agreement;

18.7 Taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of processing as well as the risk of varying likelihood and severity for the rights and freedoms of individuals, Levellr shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk to protect the Personal Data (i) from accidental or unlawful destruction, and (ii) loss, alteration, unauthorised disclosure of, or access to the Data (a “Security Incident”);

18.8 Customer consents to Levellr engaging, and transferring Personal Data to, third party subprocessors to process the Personal Data for the Permitted Purpose provided that: (i) Levellr maintains an up-to-date list of its subprocessors on its website at https://www.levellr.com/pages/privacy-policy#subprocessors, which it shall update with details of any change in subprocessors; and (ii) Levellr imposes data protection terms on any subprocessor it appoints that require it to protect the Personal Data to the standard required by Applicable Data Protection Law;

18.9 Levellr shall provide reasonable and timely assistance to Customer (at Customer’s expense), taking into account the nature of the processing, to enable Customer to respond to: (i) any request from a data subject to exercise any of its rights under Applicable Data Protection Law; and (ii) any other correspondence, enquiry or complaint received from a data subject, regulator or other third party in connection with the processing of the Data. In the event that any such request, correspondence, enquiry or complaint is made directly to Levellr, Levellr shall promptly inform the Customer providing full details of the same;

18.10 If it becomes aware of a confirmed Security Incident, Levellr shall inform Customer without undue delay and shall provide reasonable information and cooperation to Customer so that Customer can fulfil any data breach reporting obligations it may have under (and in accordance with the timescales required by) Applicable Data Protection Law. Levellr shall further take reasonably necessary measures and actions to remedy or mitigate the effects of the Security Incident and keep Customer informed of all material developments in connection with the Security Incident.

18.11 Deletion or return of Personal Data: Upon termination or expiry of this Agreement, Levellr will, on Customer’s explicit request, delete or return the Personal Data in its possession or control (in a manner and form decided by Levellr, acting reasonably). This requirement shall not apply to the extent that Levellr is required by applicable law to retain some or all of the Personal Data, or to Personal Data it has archived on back-up systems, which Personal Data Levellr shall securely isolate and protect from any further processing.

18.12 Specific regional clauses: Depending on Customer’s location, additional clauses may apply. Please refer to Annexes A and B, which will apply to Customers in those locations.

Annex A

UK and EEA Specific Provisions

The following terms apply to the processing of Personal Data where the Customer is established in the UK or European Economic Area (“EEA”) or where the Personal Data relates to individuals in the UK or EEA.

  1. Levellr will act as a processor and the Customer as controller of Personal Data.
  2. The nature and purpose of the processing, the subject-matter and duration, and the types of Personal Data and categories of data subjects are set out in our Privacy Policy.
  3. To the extent that Levellr is required by law to process the Personal Data outside of the documented instructions given by Customer, it shall inform Customer of that legal requirement before processing unless that law prohibits such disclosure.
  4. Levellr shall immediately inform Customer if, in its opinion, an instruction infringes Applicable Data Protection Law.
  5. Levellr shall not transfer the Personal Data outside of the UK or EEA unless it has taken such measures as are necessary to ensure the transfer is in compliance with Applicable Data Protection Law. Such measures may include (without limitation) transferring the Personal Data to a recipient in a country that the European Commission or UK Information Commissioner’s Office (ICO) has decided provides adequate protection for personal data, or to a recipient that has executed standard contractual clauses adopted or approved by the European Commission and/or ICO for such purpose, adopting any supplementary measures as may be required under Applicable Data Protection Law;
  6. Taking into account the nature of processing and the information available to Levellr, Levellr shall provide reasonable cooperation to the Customer (at Customer’s expense) in connection with any data protection impact assessment that may be required under Applicable Data Protection Law;
  7. The Customer may object to Levellr’s appointment or replacement of a subprocessor prior to its appointment or replacement, provided such objection is based on reasonable grounds relating to data protection. In such event, Levellr will either not appoint or replace the subprocessor or, if this is not reasonably possible in Levellr’s sole discretion, the Customer may suspend or terminate the Agreement. Levellr shall remain liable for any breach of this Annex that is caused by an act, error or omission of its subprocessor.
  8. Levellr may also process personal data when performing its obligations under this MSA as a controller (for example when administering user login details) which use shall be in accordance with Levellr’s privacy policy.

Annex B

California Specific Provisions

The following terms apply to the processing of Personal Data where the Customer is an individual resident of the State of California.

These California Specific Provisions provide additional information about how Levellr collects, uses, discloses and otherwise processes personal information of individual residents of the State of California, either online or offline, within the scope of the California Consumer Privacy Act of 2018 (“CCPA”).

Unless otherwise expressly stated, all terms in these California Specific Provisions have the same meaning as defined in our Terms of Service or as otherwise defined in the CCPA.

Personal Information Disclosures

The term “personal information” in these California Specific Provisions shall mean information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or household.

Collection and Use of Personal Information

In the last 12 months, Levellr has collected the categories of personal information identified in the Privacy Policy.

Disclosure of Personal Information

In the previous 12 months, Levellr has disclosed all of the categories of personal information collected as detailed in Privacy Policy, to third parties for a business purpose.

Levellr does not “sell” personal information as most people would typically understand that term. However, Levellr does allow certain third-party partners and providers to collect information about consumers directly through the platform for purposes of analysing and optimising the platform, measuring statistics, and detecting and reporting fraud. To the extent this practice is interpreted to constitute a “sale” under the CCPA, please refer to the Global Privacy Policy for more information including how to exercise any rights to opt-out of cookies and analytics.

Customer’s California Privacy Rights

As a California resident, Customer may be able to exercise the following rights in relation to the personal information about Customer that Levellr has collected (subject to certain limitations at law):

Right to Know. Customer has the right to request that Levellr disclose to Customer the categories and specific pieces of personal information Levellr has collected about Customer as well as information about how Levellr collects, uses, discloses, and “sells” personal information.

Right to Request Deletion. Customer has the right to request the deletion of personal information that Levellr has collected from Customer, subject to certain exceptions.

The Right to Opt Out of Personal Information Sales. Customer has the right to direct Levellr not to sell personal information Levellr has collected about Customer to third parties now or in the future.

The Right to Non-Discrimination. Customer has the right not to receive discriminatory treatment for exercising any of the rights described above.

However, please note that if the exercise of the rights described above limits Levellr’s ability to process personal information (such as in the case of a deletion request), Levellr may no longer be able to provide to the Customer its products or Services or engage with Customer in the same manner.

How to Exercise Customer’s California Privacy Rights

To Exercise Customer’s Right to Know or Right to Deletion

To exercise Customer’s right to know and/or right to deletion, Customer must submit a request by emailing Levellr at info@levellr.com with the subject line “California Rights Request”.

Levellr will need to verify Customer’s identity before processing Customer’s request. In order to verify Customer’s identity, Levellr will generally require the matching of sufficient information Customer provides Levellr to the information Levellr maintains about Customer in its systems and/or by other means. Certain requests may require Levellr to obtain additional personal information from Customer.

To Exercise Customer’s Right to Opt Out of Personal Information Sales

Levellr allows certain third-party partners and providers to collect information about consumers directly through the platform for purposes of analysing and optimising the platform, measuring statistics, and detecting and reporting fraud.
